Terms of Service

These Terms of Service ("Terms") govern your access to and use of Prasang, operated by Naksha Inc ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.


1. Eligibility

1.1 Account holders

To create an account on Prasang (as an organizer, host, vendor, or otherwise), you must be at least 18 years old and able to form a binding contract. The Service is currently intended for use within the United States.

1.2 Invited collaborators and guests

Communications sent to invited collaborators or guest contacts under Section 4 (e.g. SMS invitations) are intended only for individuals 18 years of age or older. By adding a contact under Section 4, you represent that the person is 18 or older. We do not independently verify age and rely on the representations of the account holder who adds them.

We do not offer accounts, and do not send Event-related communications, to anyone under 18. This does not prevent a minor's name or other information from appearing within the Service as part of Event planning data (e.g. a child listed on a guest list or seating chart) where no direct communication is sent to that minor.

If we become aware — whether through the contact themselves, a parent or guardian, or otherwise — that a person receiving communications under Section 4 is under 18, we will stop sending them further communications and remove their contact information from the Service. The account holder who added that contact will have breached the representation in Section 4 and may have their account suspended or terminated.


2. Description of Service

Prasang is a platform for planning and coordinating events of many kinds — such as a wedding and its related functions, a birthday party, a baby shower, a corporate event, a volunteer event, or any other gathering (each, an "Event"). The Service includes tools such as (without limitation):

  • Item and gift tracking
  • Vendor scheduling (e.g. hair & makeup appointment scheduling)
  • Vendor search and booking
  • Seating arrangement tools
  • Personalized Event websites and RSVP collection
  • Program and entertainment coordination tools (e.g. performances, choreography, speeches, activities)
  • Photo and video sharing with vendors and guests
  • Guest communication and social features for the Event day and beyond

We may add, modify, or remove features at any time.


3. Accounts

  • You must provide accurate information when creating an account and keep it up to date.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You must notify us promptly at support@prasang.love of any unauthorized use of your account.
  • We may suspend or terminate accounts that violate these Terms.

4. Adding Other People's Information

Certain features let you add contact information (name, phone number, email) for other people — guests, collaborators, or vendors — who have not created an account themselves.

By adding another person's information, you represent and warrant that:

  • You have the right to provide that information to us;
  • You have a reasonable basis to believe that person would want to be contacted about the relevant Event;
  • You will not use this feature to add people for any purpose unrelated to the Event you are organizing; and
  • The person you are adding is 18 years of age or older.

Added contacts will receive a one-time invitation and must affirmatively confirm before receiving further communications. We may suspend accounts that misuse this feature (e.g. adding contacts without a good-faith basis, or using it to send unrelated messages).


5. AI-Assisted Features

Certain features use automated systems, including third-party AI providers, to help operate the Service. For example, when a contact replies to a scheduling message, we may use AI to interpret that reply and route the request within the Service (see our Privacy Policy for how this data is handled).

  • Not open-ended AI generation. AI is used to interpret incoming replies — including flexible, free-text responses to a scheduling question — to determine what you're asking for. The outbound message you receive is then assembled by the system from a controlled set of message templates, populated with verified information (such as your actual confirmed appointment time), rather than freely composed or generated by AI.
  • Accuracy is not guaranteed. AI-assisted interpretation of free-text replies may occasionally be inaccurate. Where reasonably practicable, we will confirm an interpreted request before treating it as final, but you are responsible for verifying important details (e.g. appointment times) within the Service.
  • No binding authority. AI-assisted features do not have authority to enter into agreements, make payments, or take other actions restricted under these Terms. Actions with legal or financial effect require confirmation by an eligible account holder.
  • We are not liable for losses arising from a misinterpreted automated response, except as provided in Section 12.

6. User Content

  • Your content, your ownership. You retain ownership of photos, videos, seating charts, Event website content, and other material you upload ("User Content").
  • License to us. You grant Prasang a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and distribute your User Content solely as necessary to operate and provide the Service to you and the people you designate (e.g. co-organizers, guests, vendors).
  • Your responsibility. You are solely responsible for your User Content and for having the necessary rights and permissions to upload and share it, including permission from any identifiable people shown in photos or videos.
  • Removal. We may remove User Content that violates these Terms or applicable law.

7. Vendor Marketplace

  • Vendors listed on Prasang are independent businesses, not employees or agents of Prasang.
  • Prasang facilitates discovery and, where enabled, booking and payment between organizers and vendors, but is not a party to the underlying service agreement between an organizer and a vendor.
  • We do not guarantee the quality, safety, legality, or reliability of any vendor's services. Disputes about vendor performance should be resolved directly between the organizer and the vendor; we may, at our discretion, offer support in resolving disputes but are not obligated to.
  • Vendors are responsible for accurately describing their services, pricing, and availability, and for complying with all applicable licensing, insurance, and legal requirements for their business.

8. Guest and Social Features

Guest-facing features (RSVP, seating, day-of communication/social feed) are intended to facilitate coordination around a specific Event. You agree not to use these features to harass, spam, or contact guests for purposes unrelated to the Event.


9. Payments, Fees, and Refunds

  • Platform fees. Fees for platform services (e.g. subscriptions, listing fees, or booking fees) will be disclosed to you before you incur them. Unless otherwise stated at the time of purchase, platform fees are non-refundable.
  • Vendor payments. How you pay a vendor — directly, or through the Service — will be disclosed to you at the time of that transaction. Deposits, cancellation windows, and refund terms for vendor services are set by the vendor (or, where the Service facilitates the payment, disclosed to you within the Service at the time of booking). Prasang is not responsible for refunding vendor payments except to the extent required by law or expressly stated at the time of the transaction. See Section 7 (Vendor Marketplace).
  • Processing. Where payments are processed through the Service, they are handled by our third-party payment processor, and refunds (if any) are issued to the original payment method within 10 business days of approval. You agree to the payment processor's applicable terms.
  • We may change our fees with advance notice.

10. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose;
  • Add another person's contact information without a good-faith basis related to an Event you are organizing;
  • Send spam, harassment, or unsolicited marketing through the Service;
  • Upload content that infringes others' intellectual property or privacy rights, or that is unlawful, defamatory, or harmful;
  • Attempt to gain unauthorized access to the Service or other users' accounts or data;
  • Reverse-engineer, scrape, or interfere with the Service's operation.

11. Intellectual Property

The Service, including its design, features, and underlying technology (excluding User Content), is owned by Naksha Inc and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service without our written permission.


12. Disclaimers and Limitation of Liability

  • The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • We do not guarantee uninterrupted or error-free operation of the Service, or the accuracy, quality, or outcome of any vendor's services.
  • To the maximum extent permitted by law, Naksha Inc and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the Service.
  • Our total liability for any claim arising from these Terms or the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) $100.
  • Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Naksha Inc from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another person (including someone whose contact information you added).


14. Dispute Resolution

14.1 Informal Resolution First

Before filing a claim, you agree to first contact us at legal@prasang.love with a description of the dispute and the relief you're seeking. We will attempt to resolve the dispute informally within 60 days. If we're unable to do so, either party may proceed as described below.

14.2 Agreement to Arbitrate

Except as set out in Section 14.5, you and Naksha Inc agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved by binding arbitration on an individual basis, rather than in court — except that either party may bring an individual claim in small claims court as described in Section 14.5.

14.3 Arbitration Provider and Process

Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect (available at adr.org), before a single arbitrator. Unless the parties agree otherwise, arbitration will be conducted in Cabarrus County, North Carolina, or by telephone, video conference, or written submissions at the arbitrator's discretion. Arbitration fees will be allocated according to the AAA Consumer Arbitration Rules, which limit the fees a consumer can be required to pay.

14.4 Class Action Waiver

You and Naksha Inc agree that any Dispute will be brought only on an individual basis, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. If this class action waiver is found unenforceable as to a particular Dispute, that Dispute (and only that Dispute) will proceed in court rather than arbitration, and the remainder of this Section 14 will otherwise remain in effect.

14.5 Exceptions

Either party may bring an individual claim in small claims court, where eligible, instead of arbitration. Either party may also seek injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property or confidentiality rights. Nothing in this Section 14 limits either party's right to seek public injunctive relief in court to the extent such a waiver is unenforceable under applicable law.

14.6 Right to Opt Out

You may opt out of this arbitration agreement by sending written notice to Naksha Inc, P.O Box 5900, Concord, NC, U.S.A within 30 days of first agreeing to these Terms, stating your name and that you wish to opt out of arbitration. If you opt out, neither you nor Naksha Inc will be required to arbitrate Disputes with you, but every other part of these Terms will continue to apply.

14.7 Governing Law

These Terms and any Dispute are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.


15. Termination

You may stop using the Service and close your account at any time by contacting support@prasang.love. We may suspend or terminate your access if you violate these Terms, or for other reasons at our discretion, with notice where required by law.


16. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date and, for material changes, provide additional notice (e.g. email or in-app notification).
